1. Acceptance of Terms

These Terms and Conditions ("Terms") govern access to and use of Disciple, a parish management platform provided by Ribb Technologies ("Ribb Technologies", "we", "us", or "our"). By creating an account, logging in, or otherwise using Disciple, you agree to be bound by these Terms on your own behalf and, where applicable, on behalf of the Parish that has authorized your access. If you do not agree to these Terms, you must not use Disciple.

If you are using Disciple on behalf of a parish, diocese, or other tenant organization (referred to throughout these Terms as "the Parish"), you represent that you are authorized to accept these Terms on the Parish's behalf and that the Parish itself agrees to be bound by them. Where these Terms distinguish between obligations of the Parish and obligations of an individual user, both sets of obligations apply concurrently: the Parish is responsible for its account and its staff's use of Disciple, and you are responsible for your own conduct within the platform.

2. Description of the Service

Disciple is a software platform that helps parishes manage parishioner records, family and household relationships, ministries and faith formation programs, sacramental records, events and calendars, communications, donations and contributions, and related administrative functions. Disciple is offered as a hosted, multi-tenant service: each Parish's data is logically separated from every other Parish's data, and access is controlled through the accounts and permissions described in Section 3.

Disciple is provided across multiple client surfaces, including a web-based administrative application for parish staff, a self-service portal for parishioners, a public-facing parish website (CMS), and a mobile application. These Terms apply to your use of Disciple regardless of which surface you use to access it.

We may add, change, or remove features of Disciple from time to time. We will make reasonable efforts to communicate material changes to affected Parishes, but the Service is not guaranteed to remain identical in form or function over time.

3. Parish Accounts and User Accounts

A Parish gains access to Disciple through a Parish-level account established by Ribb Technologies or an authorized Parish representative. Individual users -- clergy, staff, ministry leaders, and parishioners -- access Disciple through user accounts created within that Parish's tenant. Each user account is intended for use by a single natural person and must not be shared.

  • You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account, except to the extent that activity is the result of our failure to meet our obligations under these Terms.
  • You must notify the Parish or Ribb Technologies promptly if you believe your account has been compromised or used without your authorization.
  • The Parish is responsible for determining which individuals may hold accounts within its tenant, for assigning appropriate roles and permissions to those accounts, and for promptly deactivating accounts for individuals who should no longer have access (for example, departing staff or ministry leaders).
  • Accounts intended for a parishioner's own self-service use (the Portal) must be linked to that parishioner's own identity. Using another person's identity to create or access a self-service account without authorization is prohibited.

We may suspend or terminate a user account or a Parish account as described in Section 12 (Termination).

4. Acceptable Use

You agree to use Disciple only for lawful purposes consistent with its intended function as a parish management platform. Without limiting the generality of the foregoing, you agree not to:

  • Access or attempt to access data belonging to a Parish other than your own, or data within your own Parish's tenant that your account role does not authorize you to see.
  • Circumvent, disable, or interfere with authentication, permission, or security controls built into Disciple.
  • Upload, transmit, or store content through Disciple that is unlawful, defamatory, fraudulent, or that infringes the intellectual property or privacy rights of others.
  • Use Disciple to send unsolicited bulk communications outside the bounds of the communication and consent tools Disciple provides.
  • Introduce viruses, malware, or other harmful code, or attempt to probe, scan, or test the vulnerability of Disciple's systems without our prior written authorization.
  • Reverse engineer, decompile, or disassemble any part of Disciple, except to the extent such restriction is prohibited by applicable law.
  • Use automated means (scraping, bots, or similar tools) to extract data from Disciple outside of the APIs and export features we provide for that purpose.

Both the Parish and individual users are responsible for ensuring that content entered into Disciple -- including parishioner records, published communications, and public website content -- is accurate, lawfully obtained, and used in a manner consistent with the purposes for which it was collected.

5. Parish Data and Our Role

In the course of providing Disciple, Ribb Technologies processes parish and parishioner data -- including personal information about parishioners, families, donations, and participation in parish life -- on the Parish's behalf. The Parish remains the controller of its own records: the Parish determines what data is collected, how it is used within Disciple, who within the Parish may access it, and how long it is retained, subject to the technical capabilities Disciple provides.

Ribb Technologies acts as a processor (or service provider, depending on applicable law) with respect to that data. We process Parish data only to provide, maintain, and support Disciple, and in accordance with the Parish's instructions as reflected in the Parish's configuration and use of the platform, except where we are required to do otherwise by law.

The Parish is responsible for having a lawful basis to collect and process the personal data it enters into Disciple, for providing any privacy notices required by applicable law to its parishioners, and for responding to data subject requests concerning its own records, with Disciple's tools available to assist in fulfilling those requests where applicable.

6. Donations and Payment Handling

Disciple allows a Parish to accept donations and other payments from parishioners and the public through the platform. Donations and payments made through Disciple are processed by third-party payment processors, not by Ribb Technologies. When you make a donation or payment through Disciple, you are entering into a transaction with the Parish, facilitated through the payment processor's infrastructure, and that processor's own terms of service and privacy policy also apply to the handling of your payment information.

Ribb Technologies does not hold, custody, or control donated or paid funds at any point in the transaction flow. Funds move directly between the donor's or payer's payment method and the Parish's designated account through the payment processor. Disciple records the transaction details necessary for the Parish's giving records, receipts, and reporting, but Disciple is not a party to the transfer of funds itself.

Questions or disputes about a specific donation or payment -- including refunds, disputed charges, or receipt corrections -- should be directed to the Parish that received the donation. Disputes concerning the payment method itself (for example, a card-issuer chargeback) are subject to the payment processor's own dispute process.

7. Intellectual Property

Disciple, including its software, design, user interface, and underlying technology, is owned by Ribb Technologies or its licensors and is protected by intellectual property laws. These Terms grant the Parish and its authorized users a limited, non-exclusive, non-transferable right to access and use Disciple for the Parish's own internal and public-facing purposes, subject to these Terms. No other rights are granted.

As between the Parish and Ribb Technologies, the Parish retains ownership of the content it enters into Disciple, including parishioner records, published articles, images, and other materials the Parish or its users upload (collectively, "Parish Content"). By submitting Parish Content to Disciple, the Parish grants Ribb Technologies a limited license to host, store, process, transmit, and display that content solely as necessary to provide Disciple to the Parish and its authorized users.

Ribb Technologies retains ownership of all feedback, suggestions, and ideas you provide about Disciple, and may use them to improve the Service without obligation to you, except that we will not attribute such feedback to you without your consent.

8. Third-Party Services

Disciple integrates with or relies on third-party services to deliver certain features, including but not limited to payment processing (Section 6), email and SMS delivery, hosting infrastructure, and mapping or address-verification services. Your use of features that rely on a third-party service may also be subject to that provider's own terms and privacy policy.

Ribb Technologies selects its third-party providers with care but does not control their operation and is not responsible for their acts, omissions, availability, or changes to their own terms. If a third-party service becomes unavailable or changes in a way that affects Disciple, we will make reasonable efforts to notify affected Parishes and to find a suitable alternative where practical.

9. Disclaimers

Disciple is provided "as is" and "as available." To the fullest extent permitted by applicable law, Ribb Technologies disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that Disciple will be uninterrupted, error-free, or completely secure, that defects will be corrected, or that Disciple or the servers that make it available are free of harmful components. You are responsible for maintaining independent backups of any records that are critical to the Parish's operations, in addition to relying on Disciple's own data storage.

No advice or information, whether oral or written, obtained from Ribb Technologies or through Disciple, creates any warranty not expressly stated in these Terms.

10. Limitation of Liability

To the fullest extent permitted by applicable law, in no event will Ribb Technologies be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or goodwill, arising out of or related to your use of, or inability to use, Disciple, even if we have been advised of the possibility of such damages.

To the fullest extent permitted by applicable law, Ribb Technologies' total aggregate liability arising out of or related to these Terms or your use of Disciple will not exceed the amount actually paid by the Parish to Ribb Technologies for the Service during the [LIABILITY CAP LOOKBACK PERIOD - TO BE SPECIFIED BY COUNSEL] period immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages or warranties, so some of the limitations described in Sections 9 and 10 may not apply to you or to the Parish in full.

11. Indemnification

The Parish agrees to indemnify, defend, and hold harmless Ribb Technologies, its officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) the Parish's or its users' violation of these Terms; (b) Parish Content, including any claim that Parish Content infringes or misappropriates a third party's rights or violates applicable law; or (c) the Parish's use of Disciple in a manner not authorized by these Terms.

You agree to indemnify and hold harmless Ribb Technologies from claims arising out of your own violation of these Terms or your misuse of your account, to the extent that misuse was not authorized or caused by the Parish or by Ribb Technologies.

12. Termination

The Parish may stop using Disciple and close its account at any time by following the account cancellation process made available to it, subject to any separate agreement governing notice periods or minimum terms.

We may suspend or terminate a Parish's or an individual user's access to Disciple if we reasonably believe that account has violated these Terms, poses a security risk to Disciple or to other Parishes, or if required to do so by law. Where practical, we will provide notice of suspension or termination and an opportunity to cure before taking that step; immediate suspension without prior notice is reserved for situations involving imminent security risk, suspected fraud, or legal compulsion.

Upon termination of a Parish's account, we will make Parish data available for export for a reasonable period as described in our data retention practices, after which the data may be deleted from our production systems in accordance with those practices. Provisions of these Terms that by their nature should survive termination -- including Sections 7 (Intellectual Property), 9 (Disclaimers), 10 (Limitation of Liability), 11 (Indemnification), and 14 (Governing Law) -- will survive.

13. Changes to These Terms

We may update these Terms from time to time to reflect changes to Disciple, to legal or regulatory requirements, or to our business practices. When we make a material change, we will provide notice through Disciple itself (for example, on this page or through an in-app notice) before the change takes effect, and we will update the effective date associated with these Terms.

Continued use of Disciple after a change to these Terms becomes effective constitutes acceptance of the updated Terms. If you do not agree to a change, your remedy is to stop using Disciple and, where applicable, to have the Parish close its account as described in Section 12.

14. Governing Law

These Terms are governed by the laws of [GOVERNING JURISDICTION - TO BE SPECIFIED BY COUNSEL], without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or your use of Disciple will be subject to the exclusive jurisdiction of the courts located in [VENUE - TO BE SPECIFIED BY COUNSEL], and you consent to the personal jurisdiction of those courts, except where applicable law requires a different forum.

Questions about a specific Parish's own records, donations, or communications should be directed to that Parish directly, as the Parish -- not Ribb Technologies -- is responsible for the content and management of its own data within Disciple.
